STANDARD TERMS AND CONDITIONS OF SERVICE
- Agreement. These terms apply to all services provided by Marcos Fermin Studio (“the Studio”), including recording, mixing, mastering, and production. By booking a session, paying a deposit, or accepting a quote, the client agrees to these terms and waives its own standard terms and conditions. Any exception must be agreed to in writing in advance.
- Deposits and booking. A non-refundable deposit of [50]% of the quoted amount is required to confirm a booking or start a project. Sessions are reserved only once the deposit is received.
- Payment. Unless another timeframe appears on the quote or invoice, the balance is due before final files are delivered. For invoiced work, payment is due within 14 days of the invoice date. Late balances may incur a late fee of [1.5]% per month on the outstanding amount. The Studio may pause or suspend work, without prior notice, while any payment is overdue.
- Collections. If a payment remains outstanding more than sixty (60) days after its due date, the Studio may refer the debt to a collection agency. The client is responsible for reasonable collection costs and legal fees.
- Cancellations and rescheduling. Sessions cancelled or rescheduled with less than [48] hours’ notice may be charged in full or forfeit the deposit. Late arrivals are billed from the scheduled start time. Time beyond the booked session is billed at the Studio’s current hourly rate.
- Revisions. Mixing and mastering quotes include [2] rounds of revisions. Additional revisions, or changes requested after final approval, are billed at the Studio’s current rate. Revision requests must be submitted together in writing.
- Deliverables and ownership. Final masters, stems, and project files are released only after full payment. Once paid in full, the client owns the rights to the delivered recordings as provided in the project agreement. The Studio retains ownership of its session templates, presets, processing chains, and working methods. Unless the client requests otherwise in writing, the Studio may list the client and project in its portfolio and credits.
- Client materials and rights. The client confirms that it owns or has cleared the rights to all material it supplies, including compositions, samples, recordings, and lyrics. The client agrees to indemnify the Studio against any claims arising from that material.
- File retention. The Studio keeps project files for [90] days after delivery. After that, they may be deleted without notice. The client is responsible for backing up delivered files. Archiving or retrieval after this period, if available, will be billed separately.
- International clients and taxes. Invoices are due in full. Any withholding tax, bank or transfer fees, or other costs required by the laws of the client’s country are the client’s responsibility and may not be deducted from the amount owed.
- Standard of service. The Studio will make its best professional efforts to deliver quality work within the agreed timeframes. Creative and commercial outcomes, such as chart performance, streaming numbers, or label or distributor acceptance, are not guaranteed. The Studio’s total liability under any engagement is limited to the amount the client paid for that engagement. The Studio is not liable for equipment failure, data loss, or delays beyond its reasonable control.
- Claims. Any complaint about delivered work must be sent in writing to [email address] within 14 days of delivery. Otherwise the work is considered accepted.
- Governing law. These terms are governed by the laws of the State of New York. Any dispute will be resolved in the courts of Queens County, New York.
